Verisk Analytics, Inc. Prices Offering of Senior Notes

JERSEY CITY, N.J., May 21, 2024 (GLOBE NEWSWIRE) -- Verisk Analytics, Inc. (Nasdaq: VRSK) (“Verisk” or the “Company”), a leading global data analytics and technology provider, today announced the pricing of an offering of $600 million of 5.250% Senior Notes due 2034 (the “Notes”). The closing of the offering is expected to occur on June 5, 2024, subject to satisfaction of customary closing conditions.
The Company intends to use a portion of the net proceeds of this offering to fund the purchase of the Company’s outstanding 4.000% Notes due 2025 (the “2025 Notes”) accepted pursuant to the tender offer (the “Tender Offer”) to purchase for cash up to $400,000,000 aggregate principal amount of the 2025 Notes and the payment of related fees and expenses. The Company intends to use the remaining net proceeds not applied in the Tender Offer for general corporate purposes. The Tender Offer is conditioned upon, among other things, the completion of the offering of the Notes; however, the closing of the offering of the Notes is not conditioned on the consummation of the Tender Offer.
